Terms and Conditions

 

SECTION 1 — WHOLESALE ACCOUNT ELIGIBILITY

  1. Wholesale access is restricted to approved wholesale accounts only.
  2. All wholesale accounts are subject to application and approval at our sole discretion.
  3. We reserve the right to refuse, suspend, or revoke any wholesale account at any time without liability.
  4. You are responsible for maintaining the confidentiality of your account login details and for all activity conducted through your account.

SECTION 2 — GENERAL CONDITIONS

  1. We reserve the right to refuse service to anyone for any reason at any time.
  2. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the wholesale service except for the resale of Colonna products in the ordinary course of your business.
  3. Any breach of these Terms may result in immediate suspension or termination of your wholesale account.

SECTION 3 — PRICING & VAT

  1. Wholesale prices are shown exclusive of VAT.
  2. Roasted coffee is zero-rated for VAT.
  3. Equipment, merchandise, and other non-coffee items may be subject to VAT at the prevailing rate.
  4. Prices are subject to change without notice.
  5. We may agree custom pricing with individual wholesale customers. Any such pricing is discretionary and may be amended or withdrawn at any time unless otherwise agreed in writing.

SECTION 4 — MINIMUM ORDER QUANTITIES

  1. Minimum order quantities (“MOQs”) may apply to certain products.
  2. Applicable MOQs are communicated to customers during account onboarding and may vary by product.
  3. Our website is configured to prevent orders below applicable MOQs.

SECTION 5 — ORDERS & PAYMENT TERMS

  1. Payment methods and terms vary by customer and are agreed upon account approval.
  2. Payment methods may include payment in advance or payment by invoice with agreed credit terms, typically 30 days unless otherwise specified.
  3. Payment terms are subject to review and may be changed at our discretion.
  4. Late payments may result in reminders from our accounts team, suspension of order fulfilment, or suspension or termination of your wholesale account.
  5. We reserve the right to require payment in advance at any time.

SECTION 6 — FULFILMENT & DELIVERY

  1. Lead times for roasted coffee are communicated upon account setup. In most cases, we require up to five working days to produce an order.
  2. All delivery dates are estimates only.
  3. We reserve the right to delay fulfilment due to production, supply, or operational constraints.
  4. Risk relating to the goods passes to you on delivery. We remain responsible for errors arising from production or packing at our roastery.
  5. For any non-UK orders, customers and importers are responsible for any customs and duties charges.

SECTION 7 — RETURNS, QUALITY & CLAIMS

  1. Wholesale orders are non-returnable except in cases of fault or error.
  2. Claims relating to damaged, defective, or incorrect goods must be inspected within seven days of delivery and notified to us in writing within that same period.
  3. We do not accept returns or refunds for preference or taste, over-ordering, or incorrect storage or handling by the customer.
  4. Where a valid claim is accepted, we may, at our discretion, replace the goods or issue a credit note.

SECTION 8 — RESALE & BRAND USE

  1. Wholesale customers may resell Colonna products online and internationally and may use Colonna branding in connection with resale.
  2. We do not restrict sales via third-party marketplaces.
  3. We reserve the right to request the removal or amendment of any use of our branding that we reasonably consider misleading or damaging to the brand.
  4. The above does not apply to private label customers.

SECTION 9 — INTELLECTUAL PROPERTY

  1. All intellectual property rights in Colonna branding, content, and materials remain the property of Colonna Ltd.
  2. No rights are granted except as necessary for the resale of products.

SECTION 10 — DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

  1. All products and services are supplied “as is” and “as available”.
  2. To the fullest extent permitted by law, Colonna Ltd shall not be liable for any indirect, incidental, or consequential loss, including loss of profit, revenue, or business, arising from the supply or use of our products.
  3. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

SECTION 11 — INDEMNIFICATION

  1. You agree to indemnify and hold harmless Colonna Ltd against any claims, losses, or damages arising from your breach of these Terms or misuse of our products.

SECTION 12 — TERMINATION

  1. Either party may terminate the wholesale relationship immediately at any time.
  2. Termination does not affect any outstanding payment obligations.
  3. We may suspend or terminate accounts where payment is overdue or where these Terms are breached.

SECTION 13 — GOVERNING LAW & JURISDICTION

  1. These Terms apply worldwide.
  2. Any dispute arising under or in connection with these Terms shall be governed by and construed in accordance with applicable law, without prejudice to mandatory local legal rights.

SECTION 14 — CHANGES TO TERMS

  1. We reserve the right to update or amend these Terms at any time.
  2. Continued use of the wholesale service constitutes acceptance of the revised Terms.
